NOTICE OF SPECIAL GENERAL MEETING & SPECIAL RESOLUTION
Notice is given that at the Special General Meeting of the Australian Council of Professions Ltd (“the company”) to be held on Monday 30 April 2018 at 11.00am, hosted by Speech Pathology Australia, Level 1/114 William Street, Melbourne, it is intended that the following motion be proposed as a special resolution:
THAT the current constitution of the company be replaced with the proposed new constitution, a copy of which was circulated to each member with the notice of this meeting.
Under the existing Constitution, if a Member appoints up to two Representatives, only one of the Representatives may exercise the Member's entitlement to vote at a general meeting, be counted towards a quorum, demand a poll or exercise any other right or power of the Member at any time, other than the right to attend and speak at general meetings which may be exercised by both Representatives.

Please note that full member associations can only vote at the meeting. Voting will only be in person or by proxy. A Member is not entitled to vote at the Special General Meeting if the member's annual subscription is more than 30 days in arrears at the date of the meeting.
If a Member appoints two Representatives, only one of the Representatives may exercise the Member's entitlement to vote at this special general meeting and be counted towards a quorum.
The deadline for lodging proxies for this meeting is 11.00am (AEST) on Saturday, 28 April 2018.
The proxy appointed by a Member need not themselves be a Member.
